Terms and Conditions for You.com.ai

Welcome to You.com.ai. These Terms and Conditions ("Terms") govern your access to and use of the You.com.ai website, mobile applications, and related services (collectively, the "Services"), provided by SuSea, Inc., doing business as You.com.ai ("You.com.ai," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Description of Services

You.com.ai is an AI-powered productivity and search engine designed to help users accomplish a variety of tasks. Our Services include, but are not limited to, a chat-first AI assistant, web search capabilities, AI-powered content generation tools such as YouWrite and YouImagine, and AI agents for research and analysis. We offer various service plans, including a free version, a "YouPro" subscription with advanced features, and an "Enterprise" plan for businesses. We also provide APIs for developers to integrate our services into their own applications.

2. User Accounts and Responsibilities

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for any activities or actions under your account. You must be at least 18 years old to use our Services.

You are responsible for your conduct while using our Services and for any content you provide, including text, images, or other materials ("Prompts" and "Outputs"). You agree to comply with all applicable laws and regulations in connection with your use of the Services.

3. User-Generated Content and Intellectual Property

Your Content: You retain ownership of the Prompts you provide to the Services. By providing Prompts, you grant You.com.ai a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your Prompts to provide and improve the Services.

AI-Generated Content: As between you and You.com.ai, and to the extent permitted by applicable law, You.com.ai assigns to you all of its right, title, and interest in and to the "Outputs" generated by the Services based on your Prompts. However, due to the nature of artificial intelligence, Outputs may not be unique, and other users may receive similar results. Our assignment of rights to you does not extend to the output of other users or any third-party content.

You are solely responsible for the content you generate and for ensuring that it complies with all applicable laws and does not infringe on the intellectual property rights of third parties.

4. Acceptable Use

You agree not to use the Services for any of the following prohibited purposes:

• Violating any applicable laws or regulations.

• Infringing on the intellectual property rights of others.

• Generating content that is defamatory, obscene, or otherwise objectionable.

• Attempting to gain unauthorized access to our systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Services.

We reserve the right to suspend or terminate your access to the Services for any violation of these acceptable use provisions.

5. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, which is incorporated by reference into these Terms, describes how we collect, use, and share your personal information. For our enterprise customers, we offer features like "Zero Data Retention," meaning we do not store your data beyond what is necessary to process your queries, and we do not use your data to train our AI models.

6. Fees and Payment

Certain features of our Services are available under paid subscription plans, such as YouPro and our Enterprise plans. By selecting a paid plan, you agree to pay the fees associated with that plan. All fees are non-refundable except as required by law.

7. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

AI-generated content may contain errors or inaccuracies. You should independently verify the accuracy of any information you obtain from the Services. You.com.ai will not be liable for any damages arising from your use of or reliance on the Services or any content generated by the Services.

Our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the Services during the twelve (12) months prior to the initial action giving rise to liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless You.com.ai, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services.

• Your violation of any term of these Terms.

• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Modifications to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Services will be resolved in the state or federal courts located in San Francisco, California.
